Organizer & Venue Agreement

In short

Status provides software tools. You are solely responsible for your events, listings, pricing, and every message you send (SMS, MMS, RCS, Apple Messages for Business, email, push, or in-app). Illegal, non-compliant, or abusive content is on you — not Status. Filters and moderation we run are for our protection only and do not make us the publisher or author of your messages.

1. Parties and acceptance

This Organizer & Venue Agreement (the “Agreement”) is between Status Digital, Inc. (“Status,” “we,” “us”) and the business, venue, promoter, or organization that creates or uses an organization account on Status (the “Organizer,” “you”).

By applying for an organization, creating an organization, sending marketing or operational messages through Status, listing events, collecting payments, or otherwise using Status as an organizer or venue, you agree to this Agreement, our Terms of Service, Privacy Policy, and SMS & Messaging Terms. If you accept on behalf of a company, you represent that you have authority to bind that company.

2. Status is a platform, not the message sender of your content

Status provides technology that may transmit messages through carriers, aggregators (for example Infobip), Apple, and other providers. For organizer-initiated marketing and operational blasts, you are the content creator and the party responsible for the message. Status is not the author, editor, or endorser of your copy. Where we appear as a technical sender or account holder with a carrier or messaging provider, that technical role does not shift legal responsibility for your content onto Status.

3. Messaging and communications — your sole responsibility

You are solely responsible for:

  • All text of SMS, MMS, RCS, Apple Messages for Business, email, push, and in-app messages you or your team send through Status (including free-form text blasts);
  • Having a lawful basis and valid consent under TCPA, CTIA, carrier rules, state privacy laws, and any other applicable law for each recipient and each campaign;
  • Age-restricted and alcohol-related content (SHAFT and similar rules), including not marketing alcohol to persons under 21 and complying with age gates and venue age policies;
  • STOP / HELP / opt-out handling, frequency, and “message and data rates” disclosures where required;
  • Accuracy of offers, pricing, event details, and not engaging in fraud, phishing, spam, or harassment;
  • Content that is illegal, defamatory, infringing, hateful, or otherwise prohibited by Status policies or law.

You may not use Status messaging to send anything illegal or prohibited. If you do, you bear full responsibility for claims, fines, carrier suspensions, 10DLC / TCR rejections, investigation costs, and related losses.

4. Our filters do not create duty or liability

Status may (but is not obligated to) review, rate-limit, filter, delay, rewrite, refuse, or cancel messages using automated tools (including AI), keyword rules, age filters, or human review. Those measures exist to protect Status, our users, and our provider relationships.

Filters can fail, miss content, or over-block. Our decision to allow, modify, or block a message does not mean we approve the content, does not make us the publisher, and does not relieve you of responsibility. You remain fully liable for messages that go out under your organization, including those that pass filters.

5. Recipients, consent, and your lists

You are responsible for the lawfulness of every list you use (guest lists, contacts, followers, imports). You represent that each person you message has provided required consent for that type of message, or that another valid exemption applies. You will not import purchased spam lists or message people who have opted out. You will honor opt-outs promptly.

6. Events, tickets, alcohol, and venue operations

You are solely responsible for your events: licensing, permits, taxes, capacity, security, age verification at the door, alcohol service laws, accessibility, and consumer-protection rules. Status does not host or produce your events. Ticket and table refund policies are yours unless required otherwise by law or clearly stated by Status for a specific product feature.

7. Payments and Stripe

Payouts and card processing are handled by Stripe (including Stripe Connect). You agree to Stripe’s terms and to provide accurate business and tax information. Status is not a bank and is not responsible for Stripe declines, holds, chargebacks, or your tax obligations. You are responsible for chargebacks, refunds, and disputes arising from your events and sales.

8. Intellectual property and brand

You grant Status a non-exclusive license to host and display your logos, flyers, event names, and related content as needed to operate and promote the Services. You represent you have rights to that content. You will not use Status trademarks in a misleading way. Status may feature your public events in discovery and marketing surfaces.

9. Prohibited uses (organizer tools)

Without limiting the Terms of Service, you will not use Status to:

  • Send illegal content or content that violates carrier / CTIA / TCR / 10DLC / Apple messaging rules (including prohibited SHAFT abuse);
  • Target or encourage underage drinking or other illegal activity;
  • Harass, defraud, or spoof identity;
  • Circumvent rate limits, age filters, opt-outs, or moderation;
  • Misrepresent Status as the organizer of your event or the author of your messages when you are responsible.

10. Suspension and kill switch

We may suspend messaging features, organization access, payouts (where permitted by payment partners), or your account immediately if we believe you violated this Agreement, put carrier registrations at risk, generated excessive complaints, or exposed Status or users to legal or operational risk. We may cooperate with carriers, Apple, Stripe, regulators, and law enforcement as required or appropriate.

11. Indemnification

You will defend, indemnify, and hold harmless Status Digital, Inc. and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your messages and communications (including SMS / marketing blasts and Apple Messages content);
  • Your events, venues, pricing, entry policies, alcohol service, and customer disputes;
  • Alleged TCPA, CTIA, carrier, privacy, advertising, or consumer protection violations tied to your use of Status;
  • Your content, IP infringement, or false advertising;
  • Your breach of this Agreement or applicable law;
  • Taxes, licensing, or regulatory obligations of your business.

This duty survives termination of your account or this Agreement.

12. Limitation of liability

To the fullest extent permitted by law, Status is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or business interruption, even if advised of the possibility. Status’s total liability arising out of organizer tools and messaging for any claim is limited to the fees you paid Status for the organization tools in the twelve (12) months before the claim (or one hundred U.S. dollars if greater, if no fees were paid). Nothing in this Agreement limits liability that cannot be limited under applicable law.

13. Disclaimer

Organizer tools and messaging features are provided “as is.” We do not warrant uninterrupted messaging delivery, carrier approval, or that filters will catch all prohibited content. Carrier, Apple, and third-party services may change or fail independently of Status.

14. Relationship of the parties

You and Status are independent contractors. This Agreement does not create a partnership, joint venture, employment, or agency relationship. You have no authority to bind Status.

15. Changes

We may update this Agreement by posting a revised version and updating the date above. Continued use of organizer tools after the effective date constitutes acceptance. If you do not agree, stop using organizer and messaging features and close the organization account.

16. Governing law

This Agreement is governed by the laws of the State of Delaware, excluding conflict-of-law rules, unless mandatory consumer law in your jurisdiction says otherwise. Courts located in Delaware (state or federal) have exclusive jurisdiction, subject to mandatory local rules.
